Terms & Conditions for Quotes, Proofs, Orders, Invoices, and Custom Products
These Terms & Conditions apply to all quotes, proofs, purchase orders, invoices, sales, products, services, artwork, custom apparel, uniforms, warmups, team stores, and related transactions between Blue Star Sports Apparel and the customer, school, team, booster club, organization, business, or individual placing or approving an order.
By accepting a quote, approving a proof, submitting a purchase order, making payment, authorizing production, placing an order, or accepting delivery of products, Customer agrees to these Terms & Conditions.
1. Customer Authority
The person accepting a quote, approving a proof, submitting a purchase order, making payment, or otherwise authorizing an order represents that they have authority to act on behalf of the Customer, including any school, athletic department, team, booster club, parent organization, business, nonprofit organization, or other purchasing entity.
Customer is responsible for all approvals, communications, payments, and obligations related to the order, regardless of whether funds are collected from athletes, parents, coaches, schools, booster clubs, sponsors, or other third parties.
2. Quotes and Pricing
Quotes are valid for 30 days from the date issued unless otherwise stated in writing by Blue Star Sports Apparel.
Blue Star Sports Apparel reserves the right to requote any item if Customer’s requirements, quantities, artwork, garment selections, decoration methods, delivery requirements, or other order details change.
Blue Star Sports Apparel also reserves the right to adjust pricing or requote based on changes in supplier pricing, product availability, market conditions, shipping costs, taxes, tariffs, labor costs, or other circumstances occurring after the quote expiration date.
Quoted prices are in United States Dollars.
Nothing contained in Customer’s purchase order, vendor portal, payment document, email, or other communication shall modify the quoted prices, quantities, products, timelines, or scope of work unless expressly agreed to in writing by Blue Star Sports Apparel.
3. Acceptance of Orders and Purchase Orders
Sales of goods and related services, including custom apparel, uniforms, warmups, decorated products, artwork, proofs, and related services, are expressly conditioned upon these Terms & Conditions.
A purchase order, signed quote, written approval, proof approval, deposit, payment, or other authorization from Customer may be deemed acceptance of the order by Blue Star Sports Apparel.
Any terms contained in Customer’s purchase order, vendor portal, payment document, procurement form, or other document that conflict with, modify, or add to these Terms & Conditions are rejected unless expressly accepted in writing by an authorized representative of Blue Star Sports Apparel.
Any amendment, change order, revision, cancellation, or termination of an accepted order is subject to approval by Blue Star Sports Apparel. Changes, revisions, cancellations, or terminations may result in additional charges, especially after artwork has begun, proofs have been approved, materials have been ordered, or production has started.
4. Taxes and Exemption Certificates
Quoted prices do not include applicable sales, use, excise, or similar taxes unless expressly stated in writing.
Applicable taxes will be added to invoices unless Customer provides a valid exemption certificate or other required documentation before invoicing or payment.
If Customer claims tax-exempt status, Customer is responsible for providing all required exemption documentation, including, when applicable, a Michigan Sales and Use Tax Certificate of Exemption or other legally sufficient exemption documentation.
Customer is responsible for the accuracy, validity, completeness, and timeliness of any exemption certificate or tax documentation provided. Customer shall be responsible for any taxes, penalties, interest, fines, or charges resulting from incomplete, invalid, expired, inaccurate, or improperly claimed exemption documentation.
5. Payment Terms
Unless otherwise agreed in writing, Customer shall pay all invoices Net 15 days from the invoice date.
Payment is deemed received when funds are received by Blue Star Sports Apparel, including by check, credit card, electronic transfer, or other approved payment method.
Blue Star Sports Apparel may require a deposit, advance payment, progress payment, milestone payment, purchase order, or written approval before beginning artwork, ordering materials, producing products, or shipping completed goods.
Blue Star Sports Apparel reserves the right to delay, pause, suspend, or cancel production, delivery, shipment, or future services if payment is not received when due or if Customer has past-due balances.
Late balances may accrue interest from the due date until paid in full at the lesser of 1.5% per month, compounded monthly, or the maximum rate permitted by law.
Customer is responsible for reasonable costs incurred by Blue Star Sports Apparel in collecting past-due amounts, including collection agency fees, court costs, attorney fees, returned payment fees, chargeback fees, and related expenses, to the extent permitted by law.
All payments shall be made without deduction, setoff, counterclaim, or withholding unless required by law.
6. Credit Card Payments and Chargebacks
Customer agrees to contact Blue Star Sports Apparel in writing to attempt to resolve any billing, product, delivery, or order issue before initiating a credit card chargeback or payment dispute.
A chargeback or payment dispute does not relieve Customer of responsibility for valid charges, completed work, custom products, approved proofs, shipped products, or amounts otherwise due under these Terms & Conditions.
Blue Star Sports Apparel reserves the right to recover chargeback fees, collection costs, attorney fees, and other expenses related to improper or unresolved payment disputes, to the extent permitted by law.
7. Artwork, Mockups, and Design Services
Blue Star Sports Apparel may provide artwork, mockups, templates, design concepts, digital proofs, layouts, production files, or other design services in connection with Customer’s order.
Customer is responsible for providing usable, accurate, high-quality, and production-ready logos, artwork, names, numbers, rosters, colors, and other design information when requested.
Additional charges may apply for artwork cleanup, logo recreation, redraws, vector conversion, file preparation, design revisions, or other artwork services.
All artwork, mockups, templates, design concepts, layouts, production files, and design files created by Blue Star Sports Apparel remain the property of Blue Star Sports Apparel unless expressly transferred in writing.
Customer receives the right to purchase and use the finished products produced by Blue Star Sports Apparel. Customer does not receive ownership of Blue Star Sports Apparel’s editable files, production files, templates, patterns, design systems, or artwork files unless expressly agreed in writing.
8. Proof Approval
Customer must review and approve all artwork proofs before production may begin.
Approval of a proof confirms that Customer has reviewed and accepted all details shown or referenced in the proof, including but not limited to:
- Team name
- School name
- Mascot
- Logos
- Artwork
- Colors
- Spelling
- Player names
- Jersey numbers
- Coach names
- Graduation years
- Roster information
- Sizes
- Quantities
- Garment styles
- Decoration placement
- Design layout
- Front and back views
- Sleeve, collar, side panel, hood, pant, short, or warmup details
- Any other custom details included in the order
Blue Star Sports Apparel is not responsible for errors, omissions, misspellings, incorrect numbers, incorrect names, incorrect sizes, incorrect colors, incorrect quantities, logo issues, or design details that were approved by Customer.
Any delay in proof approval, roster submission, size submission, payment, purchase order issuance, or Customer response may delay production and delivery.
Changes requested after proof approval may not be possible and may result in additional charges or extended delivery timelines.
9. Customer-Provided Logos, Artwork, and Intellectual Property
Customer represents and warrants that it owns or has permission to use all names, logos, mascots, trademarks, copyrighted materials, images, artwork, slogans, player names, school marks, team marks, league marks, sponsor logos, and other materials provided to Blue Star Sports Apparel.
Customer is solely responsible for securing all permissions, licenses, releases, consents, and approvals required to use any materials provided to Blue Star Sports Apparel.
Customer agrees to defend, indemnify, and hold harmless Blue Star Sports Apparel, its owners, employees, contractors, vendors, and representatives from and against any claims, demands, damages, losses, liabilities, costs, or expenses, including attorney fees, arising from or related to Customer-provided artwork, logos, marks, images, names, likenesses, intellectual property, or other materials.
Blue Star Sports Apparel may refuse to produce any design or product that it believes may infringe another party’s rights, violate applicable law, or create unreasonable business or legal risk.
10. Student, Player, and Team Information
Customer is responsible for obtaining any required permission to provide player names, jersey numbers, sizes, roster information, student information, photographs, likenesses, or other personal information to Blue Star Sports Apparel.
Blue Star Sports Apparel will use such information for purposes related to quoting, designing, producing, fulfilling, delivering, servicing, or documenting the order.
Customer is responsible for verifying the accuracy of all roster, sizing, and player information before proof approval or production.
11. Custom Products and Final Sale
Custom-decorated, sublimated, personalized, made-to-order, team-specific, or special-order products are final sale.
After proof approval or once production has begun, custom products may not be canceled, returned, exchanged, or refunded except for verified manufacturing defects or errors caused by Blue Star Sports Apparel.
This includes, but is not limited to:
- Custom uniforms
- Sublimated uniforms
- Warmups
- Team apparel
- Personalized items
- Items with names
- Items with numbers
- Items with logos
- Items with team-specific artwork
- Team-store items
- Made-to-order garments
- Special-order products
Customer remains responsible for payment for custom products even if an athlete quits, a roster changes, a season is canceled, Customer changes its mind, incorrect information was submitted, or Customer no longer needs the products.
12. Sizes, Fit, and Garment Selection
Customer is responsible for reviewing size charts, fit information, garment descriptions, samples, and other available sizing guidance before placing or approving an order.
Customer is responsible for collecting, verifying, and submitting all sizes.
Blue Star Sports Apparel may provide size charts, samples, sizing kits, or general guidance, but final size selection is Customer’s responsibility.
Fit is subjective and may vary based on athlete preference, body type, garment style, fabric, manufacturer, cut, stretch, and intended use.
Blue Star Sports Apparel is not responsible for fit issues caused by incorrect size selection, style selection, athlete preference, growth, body changes, or Customer-submitted sizing information.
Samples, sizing kits, or trial garments may be invoiced unless otherwise agreed in writing. Customer is responsible for returning any samples or sizing kits in the condition and timeframe required by Blue Star Sports Apparel.
13. Color, Fabric, and Production Variation
Digital proofs, mockups, screenshots, online images, printed proofs, and on-screen colors are visual approximations only.
Final product colors may vary due to fabric type, dye lot, sublimation process, ink absorption, thread, material stretch, production method, lighting, monitor settings, viewing conditions, garment style, and manufacturer variation.
Exact color matching is not guaranteed unless Blue Star Sports Apparel expressly agrees in writing to match a specific physical color standard.
Colors may vary between different fabrics, garments, product types, production runs, reorders, and manufacturers.
Placement, scale, alignment, seams, panels, pattern matching, decoration location, and print registration may vary within normal production tolerances.
14. Product Availability and Substitutions
All products, styles, fabrics, colors, trims, zippers, blanks, and materials are subject to availability.
If an item becomes unavailable, discontinued, backordered, or materially delayed, Blue Star Sports Apparel may recommend a substitute or comparable product.
Substitutions affecting price, appearance, material, or performance will be communicated to Customer before production when reasonably possible.
Customer acknowledges that manufacturer specifications, sizing, colors, construction, and availability may change without notice.
15. Production Timelines and Delivery Estimates
Quoted or estimated production and delivery timelines are good-faith estimates based on current schedules, supplier availability, production capacity, workload, shipping timelines, and information available at the time of quote or order.
Estimated delivery dates are not guaranteed unless expressly confirmed in writing by Blue Star Sports Apparel.
Production timelines may be affected by proof approval delays, roster delays, size submission delays, payment delays, purchase order delays, customer changes, supplier delays, backorders, weather, carrier delays, labor issues, equipment issues, holidays, force majeure events, or other circumstances beyond Blue Star Sports Apparel’s reasonable control.
Blue Star Sports Apparel is not liable for delay or for damages, losses, missed games, missed tournaments, lost fundraising, lost profits, reputational harm, or other losses resulting from an estimated timeline not being met.
Partial deliveries are permitted.
16. Rush Orders
Rush orders may be accepted at Blue Star Sports Apparel’s discretion.
Rush fees, when accepted, prioritize artwork, production, processing, or shipping, but do not guarantee delivery by a specific date unless Blue Star Sports Apparel expressly confirms a guaranteed delivery date in writing.
Rush timelines depend on timely Customer approvals, product availability, production capacity, payment, and carrier performance.
Customer changes, proof delays, supplier delays, carrier delays, or circumstances beyond Blue Star Sports Apparel’s control may affect rush orders.
17. Shipping, Delivery, and Risk of Loss
Unless otherwise agreed in writing, delivery shall be FOB origin.
Delivery occurs when products are delivered to the shipping carrier. Title and risk of loss or damage transfer to Customer when products are delivered to the shipping carrier.
Customer is responsible for shipping charges unless otherwise stated in writing.
Blue Star Sports Apparel is not responsible for loss, theft, delay, damage, misdelivery, or carrier errors after products are delivered to the shipping carrier.
Blue Star Sports Apparel may assist Customer with carrier claims when reasonably possible, but such assistance does not make Blue Star Sports Apparel responsible for carrier loss, delay, or damage.
If Customer chooses local pickup, delivery occurs and risk of loss transfers when the products are picked up by Customer or Customer’s representative.
18. Inspection, Shortages, Defects, and Claims
Customer must inspect all products within 5 business days after delivery or pickup.
Customer must notify Blue Star Sports Apparel in writing within that 5-business-day period of any claimed shortage, defect, incorrect item, damage, or order discrepancy.
Customer must provide reasonable documentation of the issue, including photographs, order information, and a description of the claimed problem.
Products that have been worn, washed, altered, distributed, used, resold, or otherwise placed into service may not be eligible for replacement, credit, or refund unless otherwise required by law.
Blue Star Sports Apparel’s responsibility for verified shortages, manufacturing defects, or Blue Star Sports Apparel production errors is limited to repair, replacement, reprint, credit, or refund of the affected products, at Blue Star Sports Apparel’s discretion.
Claims not made within the required inspection period may be denied.
19. Reorders
Reorders are treated as new orders.
Reorders may be subject to current pricing, minimum order quantities, artwork charges, setup charges, product availability, production timelines, and shipping charges.
Blue Star Sports Apparel does not guarantee that reorder items will exactly match prior orders.
Differences may occur due to fabric changes, dye lots, manufacturer changes, production methods, garment availability, artwork changes, material availability, or normal production variation.
20. Team Stores
If Blue Star Sports Apparel provides an online team store or group ordering program, Customer is responsible for reviewing and approving all store details before the store opens, including product selection, pricing, artwork, colors, deadlines, shipping method, pickup method, and order instructions.
Team stores may have open dates, close dates, minimum quantities, production timelines, and ordering restrictions.
Orders placed through a team store are generally custom, made-to-order, and final sale.
No changes, cancellations, additions, or late orders are guaranteed after a store closes.
Team-store products may be produced after the store close date, not necessarily when each individual order is placed.
Individual orders may ship together, ship separately, or be delivered to a team representative, depending on the store setup.
Customer is responsible for communicating store deadlines, pickup instructions, delivery expectations, and ordering requirements to athletes, parents, coaches, staff, and participants.
21. Abandoned, Delayed, or Unresponsive Orders
If Customer fails to respond, provide required information, approve proofs, make payment, issue a purchase order, accept delivery, or otherwise move an order forward, Blue Star Sports Apparel may pause the order.
Blue Star Sports Apparel may invoice Customer for completed work, artwork, materials, ordered products, restocking fees, storage fees, administrative costs, or other costs incurred before the order was paused, canceled, or abandoned.
Completed orders not picked up or accepted within a reasonable time may be subject to storage fees or other handling charges.
22. Portfolio, Samples, and Marketing Use
Unless Customer objects in writing before production, Customer grants Blue Star Sports Apparel permission to photograph, display, and use images of finished products for samples, catalogs, website content, social media, sales presentations, advertisements, and portfolio purposes.
Blue Star Sports Apparel will not knowingly disclose confidential roster information or private student information in marketing materials without permission.
Customer may opt out of portfolio or marketing use by notifying Blue Star Sports Apparel in writing before production or delivery.
23. Electronic Communications and Text Messages
By providing a phone number, email address, or other contact information, Customer authorizes Blue Star Sports Apparel to send transactional communications related to quotes, proofs, artwork, orders, invoices, payments, production, shipping, delivery, customer service, and related business matters.
These communications may be sent by phone, email, or text message, including from 1-800-694-8415 or other numbers used by Blue Star Sports Apparel.
Transactional communications are intended to provide updates and service information related to Customer’s quote, proof, order, invoice, shipping, or account.
Promotional or marketing text messages are optional and are not required to purchase products from Blue Star Sports Apparel. Customer may choose whether to receive promotional or marketing messages.
Message and data rates may apply. Message frequency may vary.
Customer may opt out of text messages at any time by replying STOP, CANCEL, END, QUIT, or UNSUBSCRIBE, or by contacting Blue Star Sports Apparel directly. Blue Star Sports Apparel will process opt-out requests as required by applicable law.
Opting out of promotional messages may not prevent Blue Star Sports Apparel from sending necessary transactional or service-related communications regarding active orders, invoices, deliveries, or customer service matters where permitted by law.
24. Website Terms
The general terms and conditions of purchase at bluestarsportsapparel.com apply to this quotation, order, invoice, proof, and sale to the extent they do not conflict with these Terms & Conditions.
If there is a conflict between these Terms & Conditions and other Blue Star Sports Apparel terms, the terms most specific to the quote, proof, order, invoice, or transaction shall control unless otherwise stated in writing by Blue Star Sports Apparel.
25. Limitation of Liability
Blue Star Sports Apparel’s liability for any claim arising from or related to a quote, proof, order, invoice, product, service, delay, defect, non-delivery, or transaction is limited to repair, replacement, reprint, credit, or refund of the affected products or services, at Blue Star Sports Apparel’s discretion.
Blue Star Sports Apparel shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to missed games, missed tournaments, lost profits, lost fundraising, replacement purchases, reputational harm, travel costs, event costs, lost opportunities, or other business, school, team, athlete, or organizational losses.
Customer agrees that Blue Star Sports Apparel’s total liability shall not exceed the amount paid by Customer for the affected products or services giving rise to the claim.
26. Force Majeure
Blue Star Sports Apparel shall not be liable for delay, failure to perform, or inability to deliver caused by events beyond its reasonable control, including but not limited to acts of God, severe weather, natural disasters, fire, flood, labor shortages, strikes, supplier delays, backorders, equipment failure, transportation delays, carrier delays, customs delays, government action, pandemic, epidemic, power outages, internet outages, material shortages, civil unrest, war, terrorism, or other circumstances beyond Blue Star Sports Apparel’s reasonable control.
27. No Waiver
Failure by Blue Star Sports Apparel to enforce any provision of these Terms & Conditions shall not be deemed a waiver of that provision or any other provision.
Any waiver must be in writing and signed by an authorized representative of Blue Star Sports Apparel.
28. Severability
If any provision of these Terms & Conditions is found to be invalid, unenforceable, or unlawful, the remaining provisions shall remain in full force and effect.
The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving the original intent as closely as possible.
29. Governing Law and Venue
These Terms & Conditions and all transactions between Customer and Blue Star Sports Apparel shall be governed by the laws of the State of Michigan, without regard to conflict-of-law principles, unless otherwise required by applicable law.
Any dispute arising from or related to a quote, proof, order, invoice, product, service, payment, or transaction shall be brought in a court of competent jurisdiction located in Michigan, unless otherwise required by applicable law.
30. Entire Agreement
These Terms & Conditions, together with the applicable quote, proof, purchase order accepted by Blue Star Sports Apparel, invoice, written specifications, and any written agreement signed by Blue Star Sports Apparel, constitute the entire agreement between Customer and Blue Star Sports Apparel regarding the transaction.
These Terms & Conditions supersede all prior oral and written agreements, proposals, communications, and documents relating to the subject matter of the order.
Any modification to these Terms & Conditions must be in writing and accepted by an authorized representative of Blue Star Sports Apparel.
31. Customer Acceptance
By accepting a quote, approving a proof, submitting a purchase order, making payment, authorizing production, placing an order, or accepting delivery, Customer acknowledges that Customer has read, understands, and agrees to these Terms & Conditions.
